The short version
- You own your footage, your content and the data from your store and ad accounts. We use them only to run Scrollbase for you.
- You decide what goes live. Review what the AI writes, voices, draws and edits before it's published.
- Your ads, pages and emails have to follow the law and the rules of the platforms they run on.
- Scrollbase is in early access: features change, and no tool can promise results.
A summary for convenience. The full text below is what applies.

1.These terms
These Terms of Service (the “Terms”) are an agreement between you and INNOBRANDS LLC (“Scrollbase”, “we”, “us”), the company that runs Scrollbase on scrollbase.io and in the Scrollbase app (together, the “Service”). By creating an account, connecting an account to Scrollbase or otherwise using the Service, you agree to these Terms.
If you use Scrollbase for a company or a brand, you agree to these Terms on its behalf and confirm that you're allowed to. “You” then means that company and everyone who uses Scrollbase through its account.
Our Privacy Policy explains how we handle personal data, and is part of these Terms.
2.Early access
Scrollbase is invite-only while we onboard brands. During early access we add, change and remove features often, some are marked as coming soon, and the Service may be slow or unavailable at times. We'll try to tell you about big changes ahead of time, but we can't promise that every feature will stay.
Joining the early-access list doesn't create an account or guarantee an invite.
3.Your account
- Give accurate details when you sign up, and keep them up to date.
- Keep your password safe, and tell us right away at support@scrollbase.io if you think someone else has used your account.
- You're responsible for everything done through your account, including by people you invite to it.
- Scrollbase is for businesses. You must be at least 18 and able to enter into a contract to use it.
4.Connecting your stores and ad accounts
Scrollbase works by connecting to accounts you control, such as your Shopify store, your Meta ad account, Facebook Page and Instagram account, and your Google Ads account (through a Scrollbase service account that you add as a user there). When you connect an account, you:
- confirm that you have the right to connect it and to let Scrollbase use it;
- authorize Scrollbase to read its data and to act in it for you, as you direct. For example: uploading ads and switching them on or off, creating campaigns, publishing pages and files to your store's theme, and replying to, hiding or deleting comments;
- agree that some of these actions happen on a schedule or setting you chose, such as ads that start at a time you set, or store and ad data that syncs every few minutes.
Those platforms' own terms and policies still apply to you, including Meta's terms and advertising standards, Google Ads policies and Shopify's terms. The platforms decide whether to approve an ad, limit an account or change how their services work, and we aren't responsible for their decisions or for outages and changes on their side. The same goes for the other companies Scrollbase relies on, such as its hosting and AI providers: when one of them changes or goes down, parts of Scrollbase can too.
You can disconnect an account at any time in that platform's settings or by asking us. The Privacy Policy explains what happens to its data then.
5.Your content
You keep all rights to what you bring to Scrollbase: footage, photos, voices, music, logos, product information, the data from your connected accounts and anything else you upload or connect (“Your Content”).
You give us a worldwide, non-exclusive, royalty-free license to host, copy, process, edit, display and send Your Content only as needed to run the Service for you and keep it secure. For example: to cut your footage into ads, to have a script voiced, or to upload an ad to Meta. The license ends when Your Content is deleted from the Service, except for copies the law requires us to keep and copies in backups until they're replaced.
You confirm that you have the rights and permissions Your Content needs, including:
- permission from creators, and from anyone who can be recognized in your footage or photos, to use them in ads;
- the right to use any voice you record or clone, with the consent of the person it belongs to;
- licenses for the music, fonts and other material you add.
6.AI features and what they make
Scrollbase uses AI models from other companies to review footage, write scripts, ad copy, emails and pages, record voiceovers, and make pictures and video. What AI makes can be wrong, can resemble what others have made, and can say things your brand never would.
- Review before it goes live. Check every ad, page, email and reply, including its facts and claims, before it's published. You're responsible for what you publish.
- What's made for you is yours. As between you and us, you own what the Service makes for you from Your Content (the “Output”), to the extent the law allows. Similar output may be made for others.
- Labels are yours to add. Where a platform or the law requires AI-made content to be labeled or disclosed, that's your responsibility.
7.Acceptable use
Don't use Scrollbase to:
- break the law, or make ads, pages or emails with false, misleading or unsupported claims (for example health, safety or earnings claims you can't back up);
- infringe anyone's copyright, trademark, privacy or publicity rights, or impersonate a person or a brand;
- make fake reviews or testimonials, or present AI-made people, voices or reviews as real customers;
- send emails or messages without the consent the law requires;
- break the policies of Meta, Google, Shopify or any other platform you connect;
- harm, overload or probe the Service, get around its security, or reach other customers' data;
- copy, resell, rebuild or scrape the Service, unless we agree in writing.
We may remove content or suspend features that break these rules.
8.Plans, credits and payment
Plans and credits are described on our pricing page. Credits pay for AI work, such as reviewing footage, writing, voicing and making pictures and video.
Before you're charged anything, we'll show you the price, what it includes, how it renews and how to cancel. The billing terms (renewals, cancellations, refunds, taxes and when unused credits expire) will be set out here before plans go on sale.
9.Privacy and your customers' data
How we collect, use and protect personal data, including the data about your customers that comes from your store and ad accounts, is in our Privacy Policy. For that customer data we act on your behalf and on your instructions, and you're responsible for giving your customers the notices, and getting the consents, the law requires for it.
10.Ending or pausing your use
You can stop using Scrollbase and ask us to close your account at any time. We may suspend or end your access if you break these Terms, if your use puts other customers, the Service or a connected platform at risk, or if early access ends. When we can, we'll tell you first and give you a chance to fix the problem.
When your account closes, your access to the Service ends, and you can ask us for a copy of your data before it's deleted, as the Privacy Policy describes. The parts of these Terms that are meant to last, such as ownership, the disclaimers, the limits on liability and how disputes are handled, still apply afterwards.
11.No guarantees
We work hard to make Scrollbase useful, but we can't promise results. In particular:
- No tool can guarantee that an ad will be approved, perform well or lead to sales.
- Attribution, profit and other analytics are estimates built from your platforms' data and the costs you enter, and they can differ from what each platform reports.
- Finance and tax features help you organize numbers and forms. They aren't tax, legal, accounting or financial advice: check with a professional before you file or decide.
To the extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
12.Limits on liability
To the extent the law allows, Scrollbase isn't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if we were told they might happen. Our total liability for all claims about the Service is limited to the greater of the amounts you paid us in the 12 months before the claim and US$100.
Some places don't allow these limits, so some of them may not apply to you.
13.Indemnity
You'll defend Scrollbase and hold it harmless against claims, losses and costs (including reasonable legal fees) that come from Your Content, the ads, pages, emails and replies you publish, or from your breaking these Terms, the law or a platform's policies.
14.Changes to these terms
We may update these Terms as the Service changes. We'll post the new version here with its date, and tell you by email or in the app before an important change takes effect. If you keep using Scrollbase after that, the new Terms apply. If you don't agree, stop using it and close your account.
15.Governing law and disputes
These Terms are governed by the laws of the State in which INNOBRANDS LLC is organized, without regard to its conflict-of-laws rules. Disputes about them will be heard inthe state and federal courts located in that State, and both parties agree to those courts. Before going to court, please write to us at support@scrollbase.io so we can try to settle it together first.
16.Everything else
- These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
- If part of these Terms can't be enforced, the rest still applies.
- If we don't enforce a part of these Terms right away, we don't give up the right to do it later.
- You can't transfer these Terms to someone else without our consent. We can transfer them as part of a merger, acquisition or sale of assets, and will tell you if we do.
- Neither of us is responsible for delays or failures caused by events beyond reasonable control.
- If you send us ideas or suggestions, we may use them without owing you anything.
- We send notices to the email address on your account. You can send yours to support@scrollbase.io.
